Case Study · Investment / Operations Due Diligence

Investor review of a food manufacturing opportunity

Financial diligence was complete and positive. The open question was whether the factory and the management team could deliver the plan.

Situation

Financial and legal diligence were complete and supportive. The growth case assumed performance levels the business had not previously demonstrated, and the capex schedule looked light relative to the volume step-up.

What the review focused on

  • Manufacturing capacity
  • Capex assumptions
  • Labour and capability requirements
  • Quality and food safety maturity
  • Margin assumptions
  • Working-capital requirements
  • Supply chain resilience
  • Customer concentration
  • Operational bottlenecks
  • Management team capability
  • Expansion risks

Risks examined

  • Financial model not matching factory reality
  • Capex underestimated
  • Capacity overstated
  • Margin improvement assumed without an operational plan
  • Management team not strong enough for scale
  • Quality or compliance gaps
  • Working capital absorbing cash during growth

Approach

  • Test the plan's required output against demonstrated output, line by line
  • Rebuild the capex schedule from the operating requirement rather than the vendor list
  • Attach every margin improvement in the model to a named operational action and owner
  • Assess management depth and key-person exposure against the growth the plan requires

Outcome

An investment case is credible when the plan requires performance the business has either delivered before or can reach through a named, resourced action. Where neither applies, the review pushed for the assumption to be repriced rather than defended.

The practical value was giving the investor an operator-led view of execution risk before capital was committed.

Questions that decided the outcome

Detail has been removed or generalised so no client or company is identifiable.

  • Does the plan require performance this business has never delivered?
  • What capex is hidden inside the growth case?
  • Who actually runs this operation after completion?
  • How much cash will working capital absorb during the growth years?
  • How exposed is the plan to its largest customer?
